Its purpose is to connect global Chinese marine biologists and promote international exchanges and cooperation in marine biotechnology and industries.<\/span><\/p><p><span style=\"color: #333333;\"><strong><b>Article 3 Mission\u00a0<\/b><\/strong>\u00a0<\/span><br \/><span style=\"color: #333333;\">The association is committed to promoting economic and social development, participating in international cooperation and global marine governance, and promoting the building of a community with a shared future for mankind.<\/span><\/p><p><span style=\"color: #333333;\"><strong><b>Article 4 Venue<\/b><\/strong><\/span><br \/><span style=\"color: #333333;\">The association is established in Hong Kong and may set up branches in other regions as necessary.<\/span><\/p><h4><span style=\"color: #333333;\"><strong><b>Chapter Two<\/b><\/strong><strong><b>:\u00a0<\/b><\/strong><strong><b>Members<\/b><\/strong><\/span><\/h4><p><span style=\"color: #333333;\"><strong><b>Article 5 Member Categories<\/b><\/strong><\/span><br \/><span style=\"color: #333333;\">Members of the association are classified as individual members, institutional members, and corporate members.<\/span><\/p><p><span style=\"color: #333333;\"><strong><b>Article 6 Membership<\/b><\/strong><\/span><br \/><span style=\"color: #333333;\">Any Chinese experts, scholars, institutions or enterprises engaged in marine biotechnology-related work who agree with the association&#8217;s mission can apply to join the association.<\/span><\/p><p><span style=\"font-weight: bold; letter-spacing: 0.8px; color: #333333;\">Article 7 Membership Application Procedure<\/span><br style=\"letter-spacing: 0.8px;\" \/><span style=\"letter-spacing: 0.8px; color: #333333;\">Submit the application form for membership and be approved by the board of directors.<\/span><\/p><p><span style=\"color: #333333;\"><strong><b>Article 8 Member Rights<\/b><\/strong><\/span><br \/><span style=\"color: #333333;\">1. Participate in various activities organized by the association.<\/span><br \/><span style=\"color: #333333;\">2. Receive various services and resources provided by the association.<\/span><br \/><span style=\"color: #333333;\">3. Offer suggestions and opinions on the association&#8217;s work.<\/span><br \/><span style=\"color: #333333;\">4. Have the right to vote and be elected.<\/span><\/p><p><span style=\"font-weight: bold; letter-spacing: 0.8px; color: #333333;\">Article 9 Member Obligations<\/span><br style=\"letter-spacing: 0.8px;\" \/><span style=\"color: #333333;\"><span style=\"letter-spacing: 0.8px;\">1. <\/span>Comply with the association&#8217;s charter and all regulations.<\/span><br style=\"letter-spacing: 0.8px;\" \/><span style=\"color: #333333;\"><span style=\"letter-spacing: 0.8px;\">2.\u00a0<\/span>Actively participate in association activities and support the association&#8217;s work.<\/span><\/p><h5><span style=\"color: #333333;\"><strong><b>Article 10 Member\u00a0<\/b><\/strong><span style=\"font-style: inherit; letter-spacing: 0.8px;\"><b>Withdrawal<br \/><\/b><\/span><span style=\"font-weight: normal;\">Members who wish to withdraw from the association should notify the association in writing and return their membership cards.<br \/>If a member engages in any serious violation of this constitution, and is approved by the board of directors through a vote, they will be expelled from the association.<\/span><\/span><\/h5><h4><span style=\"color: #333333;\"><strong><b>Chapter Three<\/b><\/strong><strong><b>:\u00a0<\/b><\/strong><strong><b>Organizational Structure<\/b><\/strong><\/span><\/h4><p><span style=\"color: #333333;\"><strong><b>Article 11 Council<\/b><\/strong><\/span><br \/><span style=\"color: #333333;\">The Council is the decision-making body of the General Assembly and is responsible for the daily management of the association. The term of each Council is three years. The powers of the Council include:<\/span><\/p><ul><li><span style=\"color: #333333;\">Carry out the resolutions of the meeting.<\/span><\/li><li><span style=\"color: #333333;\">Formulate and implement the annual work plan of the association.<\/span><\/li><li><span style=\"color: #333333;\">Manage the finances and assets of the association.<\/span><\/li><li><span style=\"color: #333333;\">Review applications for membership.<\/span><\/li><\/ul><h5><span style=\"color: #333333;\"><strong><b>Article 12 Subcommittees and Working Groups<br \/><\/b><\/strong><span style=\"font-weight: normal;\">The association establishes subcommittees such as the Youth Committee and the International Cooperation Committee, as well as several specialized working groups, to facilitate the implementation of various specialized tasks of the association. The establishment and operation of these subcommittees and working groups are determined by the council.<\/span><\/span><\/h5><p><span style=\"color: #333333;\"><strong><b>Article 13 Secretariat<\/b><\/strong><\/span><br \/><span style=\"color: #333333;\">The Secretariat is the daily operational body of the association, responsible for the daily operation and management of the association.<\/span><\/p><h4><span style=\"color: #333333;\"><strong><b>Chapter Four<\/b><\/strong><strong><b>:\u00a0<\/b><\/strong><strong><b>Financial Management<\/b><\/strong><\/span><\/h4><p><span style=\"color: #333333;\"><strong><b>Article 14 Funding Sources<\/b><\/strong><\/span><br \/><span style=\"color: #333333;\">The sources of the association&#8217;s funds include membership fees, donations, sponsorships, and other legitimate income.<\/span><\/p><p><span style=\"color: #333333;\"><strong><b>Article 15 Financial Management<\/b><\/strong><\/span><br \/><span style=\"color: #333333;\">The financial management of the association should adhere to the principles of legality, compliance, and transparency. It should regularly report the financial situation to the member assembly. The association should establish a dedicated financial management system to ensure the rational use and management of funds.<\/span><\/p><h4><span style=\"color: #333333;\"><strong><b>Chapter 5<\/b><\/strong><strong><b>:\u00a0<\/b><\/strong><strong><b>Supplementary Provisions<\/b><\/strong><\/span><\/h4><p><span style=\"color: #333333;\"><strong><b>Article 16 Amendment of the Constitution<\/b><\/strong><\/span><br \/><span style=\"color: #333333;\">The amendment of this constitution must be approved by more than two-thirds of the members at the member assembly.<\/span><\/p><p><span style=\"color: #333333;\"><strong><b>Article 17 Interpretation of the Constitution<\/b><\/strong><\/span><br \/><span style=\"color: #333333;\">The authority to interpret this constitution belongs to the association&#8217;s council.<\/span><\/p><p><span style=\"color: #333333;\"><strong><b>Article 18 Effective Date of the Constitution<\/b><\/strong><\/span><br \/><span style=\"color: #333333;\">This constitution shall come into effect as of the date when it is approved by the members&#8217;
