Chapter One: General Provisions

Article 1 Name
This association is hereby named the Global Chinese Marine Biologists Association (hereinafter referred to as “the Association”).

Article 2 Nature 
The association is an international non-profit civil organization for Chinese people. Its purpose is to connect global Chinese marine biologists and promote international exchanges and cooperation in marine biotechnology and industries.

Article 3 Mission  
The association is committed to promoting economic and social development, participating in international cooperation and global marine governance, and promoting the building of a community with a shared future for mankind.

Article 4 Venue
The association is established in Hong Kong and may set up branches in other regions as necessary.

Chapter TwoMembers

Article 5 Member Categories
Members of the association are classified as individual members, institutional members, and corporate members.

Article 6 Membership
Any Chinese experts, scholars, institutions or enterprises engaged in marine biotechnology-related work who agree with the association’s mission can apply to join the association.

Article 7 Membership Application Procedure
Submit the application form for membership and be approved by the board of directors.

Article 8 Member Rights
1. Participate in various activities organized by the association.
2. Receive various services and resources provided by the association.
3. Offer suggestions and opinions on the association’s work.
4. Have the right to vote and be elected.

Article 9 Member Obligations
1. Comply with the association’s charter and all regulations.
2. Actively participate in association activities and support the association’s work.

Article 10 Member Withdrawal
Members who wish to withdraw from the association should notify the association in writing and return their membership cards.
If a member engages in any serious violation of this constitution, and is approved by the board of directors through a vote, they will be expelled from the association.

Chapter ThreeOrganizational Structure

Article 11 Council
The Council is the decision-making body of the General Assembly and is responsible for the daily management of the association. The term of each Council is three years. The powers of the Council include:

  • Carry out the resolutions of the meeting.
  • Formulate and implement the annual work plan of the association.
  • Manage the finances and assets of the association.
  • Review applications for membership.
Article 12 Subcommittees and Working Groups
The association establishes subcommittees such as the Youth Committee and the International Cooperation Committee, as well as several specialized working groups, to facilitate the implementation of various specialized tasks of the association. The establishment and operation of these subcommittees and working groups are determined by the council.

Article 13 Secretariat
The Secretariat is the daily operational body of the association, responsible for the daily operation and management of the association.

Chapter FourFinancial Management

Article 14 Funding Sources
The sources of the association’s funds include membership fees, donations, sponsorships, and other legitimate income.

Article 15 Financial Management
The financial management of the association should adhere to the principles of legality, compliance, and transparency. It should regularly report the financial situation to the member assembly. The association should establish a dedicated financial management system to ensure the rational use and management of funds.

Chapter 5Supplementary Provisions

Article 16 Amendment of the Constitution
The amendment of this constitution must be approved by more than two-thirds of the members at the member assembly.

Article 17 Interpretation of the Constitution
The authority to interpret this constitution belongs to the association’s council.

Article 18 Effective Date of the Constitution
This constitution shall come into effect as of the date when it is approved by the members’ assembly.
